Services

Capital structuring

We help sponsors determine how a project, asset, company or investment strategy may be financed through an appropriate combination of debt, equity, securities and structured instruments. Our structuring approach considers capital requirements, cash-flow profile, security package, tenor and repayment profile, investor risk appetite, target return, issuer jurisdiction, regulatory framework, distribution strategy, and exit or refinancing options.

Private placements

We support the preparation and distribution of privately placed financial instruments to eligible professional, qualified and institutional investors. A private placement may offer an issuer a more targeted and flexible route to capital than a broad public offering. Our role may include transaction preparation, investor targeting, presentation coordination, term-sheet development and placement support.

Credit-linked notes

We support the structuring and placement of credit-linked notes providing investors with exposure to a defined reference entity, credit instrument, portfolio or credit event. Each structure is developed according to the underlying credit risk, investor objectives, expected return, maturity, collateral arrangements and applicable documentation. We are explicit with investors about where credit risk sits and what any security genuinely secures.

Eurobonds and debt issuance

We assist issuers and sponsors with the structuring and placement of internationally distributed debt instruments: issuance strategy, instrument structure, coupon and maturity analysis, security and guarantee arrangements, listing and settlement coordination, offering documentation, investor presentation and distribution to eligible investors. The final structure depends on the issuer, transaction size, jurisdiction, investor category and applicable legal and regulatory requirements. We also advise on underwriting — structure, syndicate, pricing — without underwriting ourselves. GKB doesn't commit its own capital to guarantee an issue.

Actively managed certificates

We work with suitable counterparties and investment managers to develop actively managed certificates providing access to a professionally managed strategy through a certificate-based structure — the speed of a certificate rather than the set-up burden of a fund. Strategies may include public-market portfolios, credit, multi-asset, thematic, alternatives, private-market exposure and bespoke family-office mandates. Each product is subject to issuer approval, investment restrictions, liquidity terms, risk parameters and investor eligibility.

SPAC advisory

We advise sponsors, target companies and investors across the special-purpose acquisition company lifecycle — vehicle formation and structuring assessment, sponsor economics, promote and at-risk capital analysis, listing-venue and jurisdiction assessment, anchor and cornerstone investor engagement, PIPE and structured financing, de-SPAC target readiness, business-combination documentation, redemption, trust and dilution analysis, and post-combination capital-markets planning. Our focus is structural discipline: what the trust genuinely secures, how dilution and redemption behave under stress, and whether the target is ready for public-market scrutiny. SPAC and de-SPAC transactions remain subject to listing-venue rules, investor eligibility, regulatory approval and definitive documentation.

Financial-product brokerage

We facilitate access to selected financial instruments and structured investment solutions through our network of issuers, banks, product providers, asset managers and eligible counterparties. Our brokerage activity is focused on matching suitable solutions to the requirements of professional and institutional clients, within the scope of the relevant regulatory permissions and client-classification requirements.

Our capital-markets desk coordinates the mechanics that turn a structure into a tradable, settleable security: issuance strategy, issuer-platform and paying-agent selection, ISIN and clearing arrangements, listing where required, documentation, bookbuilding and allocation, and post-issuance investor coordination.
